PDD Holdings Inc. is incorporated in the Cayman Islands. The FY2025 Form 20-F cover page states the jurisdiction of incorporation as Cayman Islands, and the registered office is Vistra (Cayman) Limited, Grand Cayman.

What changed in 2023 was the principal executive offices, now First Floor, 25 St Stephen's Green, Dublin 2 — alongside the incorporation of Whaleco Technology Limited (Ireland) and Whaleco Inc. (Delaware) as the Temu operating entities in 2022.

Why it matters

The two facts carry completely different risk content:

An "Irish-domiciled" reading would imply EU corporate law, EU disclosure and an ordinary developed-market shareholder claim. The reality is a Cayman holding company whose China operations run partly through contractual VIE arrangements — a materially different asset, and the reason the name belongs in a structural-risk sleeve at all.

How to apply

  • Read the jurisdiction off the 20-F / 10-K cover page. It is a required field and takes one fetch. Never infer it from the feed.
  • Distrust the field generally on foreign issuers, not only where a redomiciliation is suspected. It is an address, and addresses move for tax, talent and optics reasons that have nothing to do with the legal wrapper.
  • A screen filtering on domicile needs the filing, not the feed. This is the same class of failure as [[pitfall-adr-ticker-resolution]]: the vendor returns a clean, plausible value for something adjacent to what was asked.

What would falsify this

A vendor switching the field to the incorporation jurisdiction — check by spot-testing a known redomiciled issuer against its filing cover page.
