0. Context
Rubrik is , up ~48.8% over the trailing month, and sits at a fresh all-time/52-week high ($107.91 intraday, $107.02 close) on the day it reported Q2 FY2027 results (quarter ended 2026-07-31). The stock popped +11.3% intraday to the high, then gave back most of that gain after hours, falling ~7% to ~$99.52 — a sell-the-news pattern despite a clean beat-and-raise. This report is centered on that print and on whether the run-up has outpaced the fundamentals.
RBRK IPO'd in 2024, is GAAP-unprofitable, carries heavy stock-based compensation, and is treated here as a high-risk growth name per CLAUDE.md guardrails — Graham's Intrinsic Value is not applicable (trailing EPS −1.46, book value per share −2.34; both negative) and is not used.
1. Fundamentals (Health)
TTM reconciliation (sum of last 4 quarters, not a single annual column)
Fiscal year ends Jan 31; FY2026 annual column ($1.32B revenue) is now stale — Q1 and Q2 of FY2027 have already reported.
| Quarter (ended) | Revenue |
|---|---|
| 2025-10-31 (Q3 FY26) | $350.2M |
| 2026-01-31 (Q4 FY26) | $377.7M |
| 2026-04-30 (Q1 FY27) | $387.1M |
| 2026-07-31 (Q2 FY27) | $427.3M |
| TTM (sum) | ≈$1.542B |
TTM revenue growth is running well above the stale FY2026 annual figure — confirms the guard: never read a single fiscal-year column as "current."
Q2 FY27 print (the fresh data)
- Revenue $427.3M, +38% YoY, beat consensus.
- Subscription revenue $407.2M, +37% YoY.
- Subscription ARR $1.66B, +33% YoY; net-new subscription ARR +35% YoY (accelerating, not decelerating — a positive signal on demand durability).
- Cloud ARR $1.48B, +39% YoY — cloud mix continues to grow faster than the base.
- Customers with $100K+ ARR: 3,084, +23% YoY.
- GAAP gross margin 78.4% (vs 79.5% PY) — non-GAAP gross margin 81.0% (vs 81.6% PY), a modest ~50-100bp compression worth watching but not yet a trend.
- GAAP net loss per share −$0.30 (improved from −$0.49 PY). Non-GAAP EPS +$0.20 vs −$0.03 PY — first meaningful non-GAAP profitability quarter.
- Free cash flow $65.7M, +14% YoY, FCF margin 15%; operating cash flow margin 18%.
- Subscription ARR contribution margin 14.0%, up from 9.4% PY — the unit economics are genuinely inflecting, not just a one-quarter accounting artifact.
FY2027 guidance (raised across the board)
- Revenue $1.685–1.693B
- Subscription ARR $1.880–1.885B (implies a deceleration from 33% toward the high-20s% by fiscal year-end, still a strong pace)
- Non-GAAP EPS $0.47–0.53 (full year)
- Free cash flow $323–333M, i.e. ~19% FCF margin at the guided revenue midpoint — a step up from the 15% just posted, so H2 carries the heavier lift.
Capital allocation / balance sheet
- Cash $1.75B vs debt $1.15B → net cash ≈$0.6B. Current ratio 1.74, quick ratio 1.53 — no near-term liquidity concern.
- FY2026 annual FCF (Jan 2026 year-end) was $237.8M, up from $21.6M the year before — the FCF inflection began before this quarter; this print and guidance confirm it is continuing.
- No dividend, no buyback program of consequence (buyback line is ~$0 across the last 3 fiscal years) — 100% of FCF is being retained, appropriately for a name still scaling ARR.
Shares outstanding / dilution
- Diluted weighted-average shares: 191.6M (Q1 FY26) → 194.9M → 198.4M → 200.8M → 203.7M (Q1 FY27), a steady ~2-4% sequential drift from ongoing RSU vesting.
- fin.py's 3yr diluted-share CAGR reads 3.7% annually on the annual columns, but the quarter-over-quarter run rate is faster than that implies — dilution is a real, continuing headwind to per-share value, consistent with a name still working through founder/IPO-era equity grants. One sell-side note (Seeking Alpha) estimates ~18% of cumulative dilution overhang from unvested awards outstanding; treat that as directional, not verified here.
- Data trap flagged, not yet in the Playbook: Yahoo's
sharesOutstandingfield for RBRK (160.96M) is materially below theimpliedSharesOutstandingYahoo itself uses to computemarketCap(205.8M, which matches the diluted count from the income statement). Any per-share math built off the rawsharesOutstandingfield understates the share base by ~28%. Flagged below for the orchestrator — this looks like a variant of the known dual-class/FPI share-count pitfall but firing on a single-class US domestic issuer with a large unvested-RSU/option overhang, so it may need its own note rather than an amendment.
Insider activity
insider_transactions (not insider_purchases, to avoid the RSU-grant-counted-as-purchase
trap) shows near-continuous open-market selling by the CFO (monthly, small size, 10b5-1
pattern), the CTO (recurring 10b5-1 sales plus one 100,000-share gift), the CEO (one 615,807
share sale + 150,000 share gift in Sept 2025), and multiple directors (recurring, small,
10b5-1). Only one open-market purchase in the lookback window — a director buying 10,638
shares at $47.21 in March 2026. This is consistent with routine post-IPO insider
diversification under 10b5-1 plans rather than a fresh bearish signal, but the near-total
absence of discretionary buying is worth naming as a headwind to the "insiders are aligned
with the run" story.
2. Moat & Competitive Advantage
Rubrik is a leader (per Gartner's latest Backup & Data Protection Magic Quadrant) on completeness of vision, closely bunched with Veeam (ahead on ability to execute), Cohesity, and Commvault. Its differentiation case: immutable/air-gapped backup architecture combined with data security posture management (DSPM, via the Laminar acquisition) and threat detection — positioning the product as "cyber resilience" rather than legacy backup. Once a customer's backup infrastructure and its DSPM/threat-detection telemetry live inside Rubrik, switching cost is genuinely high (data gravity + operational retraining) — subscription ARR contribution margin improving from 9.4% to 14.0% YoY is early evidence the retained customers are getting cheaper to serve, which is what a real moat should look like.
Adversarial stress-test: a well-funded rival's easiest attack vector is not head-on
product parity — it's bundling. Microsoft, AWS, and Azure are steadily improving native
backup and DSPM features that ship "free" alongside infrastructure customers already buy;
Veeam is private-equity-backed, well-capitalized, and rated ahead of Rubrik on execution;
Cohesity strengthened materially via the Veritas NetBackup/Alta acquisition, buying scale in
large enterprise accounts. None of these are existential this year, but over a 5-10yr arc the
category risks commoditizing into a checkbox feature inside broader security or cloud
platforms — the same dynamic that has compressed several other "point solution inside a
platform war" software categories swept in Knowledge/Themes/software-saas.md.
Evergreen assessment: not yet — this is a moat-in-the-making, not an entrenched one. The architecture and switching-cost story are real and the unit economics are moving the right direction, but the competitive field is still crowded with well-capitalized rivals and the hyperscalers have not yet made backup/DSPM a serious bundling push. Revisit this rating once contribution margin and net retention hold steady through a full down-cycle in IT budgets.
3. Valuation
Graham IV: not applicable — negative trailing EPS and negative book value per share. DDM/DYT: not applicable — no dividend. This is a pre-full-profitability growth name; weight is on EV/ARR, EV/Revenue, and a reverse read of what the guidance already implies.
| Metric | Value |
|---|---|
| Price (close) | $107.02 — post-market $99.52 (−7%) |
| Market cap | $22.03B (close) |
| EV | $21.43B (net cash ≈$0.6B) |
| EV/TTM revenue | ≈13.9x (TTM rev ≈$1.54B) |
| EV/TTM subscription ARR | ≈12.9x ($1.66B) |
| EV/FY27-exit subscription ARR (guided $1.88B) | ≈11.4x |
| P/S (TTM, vendor) | 15.5x |
Vendor forward P/E is the wrong fiscal year (pitfall fired): Yahoo's forwardPE of
164.48 is built from forwardEps 0.65065, which — cross-checked against epsCurrentYear
0.31438 and priceEpsCurrentYear 340.42 — maps to FY2028, not the current fiscal year
(FY2027, ending Jan 2027). The "current year" P/E on Yahoo's own field is actually ~340x.
Neither vendor number is usable at face value. The company's own FY27 non-GAAP EPS
guidance ($0.47–0.53, midpoint $0.50) gives a more defensible current-year P/E of
~199x at the post-market price — still extremely rich, but at least denominated correctly.
EV/ARR band (bear / base / bull), applied to guided FY27-exit subscription ARR of $1.88B:
| Case | EV/ARR | Implied EV | + net cash | Implied price (÷~206M diluted shares) |
|---|---|---|---|---|
| Bear | 8-10x | $15.0-18.8B | $15.6-19.4B | $76-94 |
| Base | 11-14x | $20.7-26.3B | $21.3-26.9B | $103-131 |
| Bull | 16-18x | $30.1-33.8B | $30.7-34.4B | $149-167 |
Post-market price (~$99.5) sits at the low end of the base case — not cheap, not indefensible, but pricing in continued 30%+ ARR growth and margin expansion with little room for a stumble. Peer pure-play security names (CrowdStrike, Palo Alto) trade at premium EV/ARR multiples but are also further along on GAAP profitability; RBRK's discount to them is partly earned (still GAAP-loss-making) and partly a growth-rate premium (comparable or faster ARR growth than either).
Fair value range: $80-130, anchored to the base-case EV/ARR band. Reverse-DCF sanity check: today's price already requires subscription ARR to compound at a mid-20s% CAGR for several more years and contribution margin to keep climbing toward the 20%+ range typical of mature SaaS — plausible given the trend, but not a low-risk assumption to underwrite at a fresh high.
4. Sentiment — the fresh print
Multiple analysts raised price targets ahead of the print on strong channel/VAR checks (Oppenheimer to $120, Wells Fargo to $120, Truist to $135, KeyBanc to $112, Scotiabank to $114, Rosenblatt to $105) — the buy-side and sell-side were already leaning bullish into earnings. The quarter delivered: revenue and non-GAAP EPS both beat by wide margins, ARR growth held above 30%, guidance was raised on every headline metric, and CEO Bipul Sinha tied the print to "agentic AI models have fundamentally changed the cybersecurity landscape," positioning Rubrik's AI-agent security angle as the next leg of the story.
Despite that, the stock faded from an intraday all-time high to a 7% after-hours decline. Read together with the +48.8% one-month run into the print, this looks like profit-taking into a beat that was already substantially priced in, not a fundamental disappointment — but it is the clearest signal in this report that the market's patience for paying up further on this name, at this valuation, is thinning.
5. Key Risks
- Valuation offers no margin of safety. EV/ARR ~11-13x and a triple-digit P/E on the company's own (correctly-mapped) guidance leave little room for even a modest growth deceleration — the classic "great company, expensive price: wait" cell of the framework.
- Continuous dilution and near-total absence of insider buying. Diluted share count is climbing every quarter from RSU vesting; the CFO, CTO, CEO, and multiple directors sell on a recurring 10b5-1 cadence with only one open-market purchase in the lookback window. Per the framework's per-share principle, growth funded partly by dilution is not fully growth for the holder.
- Moat is still forming, not entrenched. Well-capitalized rivals (Veeam, Cohesity+Veritas) and hyperscaler-native backup/DSPM features are the realistic 5-10yr disruption vectors; Gartner rates Veeam ahead on execution today.
- GAAP profitability is new and thin. TTM GAAP net loss is still roughly a quarter-billion dollars; the non-GAAP profitability and 15%→19% guided FCF-margin step-up are real but unproven across a full budget-cycle downturn.
6. Verdict
HOLD, conviction 6.5. This is a genuinely strong quarter from a company whose unit economics are inflecting in the right direction — but the stock arrived at this print already up 48.8% on the month and at an all-time high, and the after-hours fade despite a clean beat-and-raise is the market's own signal that the easy re-rating has been captured. Good business, but the market has already priced most of the good news in. Hold the existing position; do not chase here. Add only on a real pullback into the entry band; treat any push toward the bull-case band as the point to start trimming.
- Fair value: $80-130 (base case)
- Entry (add zone): $75-90
- Trim: 17x forward (FY27-exit) EV/subscription-ARR — implies ≈$150 at current share count and guided $1.88B exit ARR. This is an EV/ARR-based trim, not the standard forward-P/E-based one the site auto-recomputes; flagging for manual handling if written into Watchlist.md (see write-back note below).
