  • The headline 6.6x P/E is fiction and the error is 3x. Net margin 28% against op margin 21% fired pattern-net-margin-above-operating-margin-is-a-tripwire: Q1 2026 shows $259M of pretax income and a $2,214M "earnings from equity interest" line — the gain on selling the remaining 45% Worldpay stake to GPN, closed 1/9/26. Rebuilding TTM quarter-by-quarter ($0.50 + $0.98 + $4.58 + $0.45 = $6.51, matching Yahoo exactly) strips to core TTM EPS ~$2.22 → true trailing P/E 19.3x. The vendor's 6.38x forward is also wrong-year — on the company's own FY26 guide of $6.15-6.24 adjusted it is 6.9x
  • The load-bearing risk: the deleveraging arithmetic does not close on cash flow. 3.6x → 2.8x on ~$5.6B EBITDA needs $4.6B of paydown against $2.2B FCF − $0.91B dividends = $1.29B/yr2.3 years at best, 3.6 at flat EBITDA, against a promised end-2027.   • The 8/04 cut: FY26 revenue $13.63-13.70B and adj EPS $6.15-6.24 (both below the $13.8B / $6.28 consensus), Q3 $1.58-1.62 vs $1.65, and Capital Markets growth cut 225bp to 3.0-3.5%. Ferris: "We are not satisfied with our performance in Capital Markets." Half the cause was a self-admitted internal execution miss on professional-services conversion, not just the known UBS/Credit Suisse attrition — a demand problem you wait out, an execution problem you have to believe gets fixed by the people who caused it.
